
Donewell Insurance Limited is seeking a highly qualified and experienced Company Secretary (CS) to support its board and management team. This is a contract position open to both individuals and corporate bodies with expertise in corporate governance, compliance, and legal advisory services.
Role Overview
The Company Secretary acts as a key liaison between the company and its board of directors, shareholders, regulators, and other stakeholders. This role ensures that board procedures comply with corporate laws and best practices while providing strategic legal guidance.
Key Responsibilities
- Ensure compliance with the company’s constitution and relevant laws.
- Maintain and manage corporate records, including registers, minutes, and statutory documents.
- Assist in board meetings, preparing agendas and issuing meeting notices.
- Record and maintain meeting minutes for shareholders and directors.
- File statutory forms and returns with regulatory bodies.
- Maintain statutory registers (e.g., register of members, directors, and beneficial owners).
- Advise the board on legal and regulatory obligations affecting company operations.
- Ensure confidentiality of corporate matters and protect sensitive information.
- Support in corporate governance best practices and risk management.
Qualifications & Experience
Academic & Professional Requirements
- A law degree and membership in good standing with a recognized legal body.
- Membership with the Chartered Governance Institute is an advantage.
Experience
- 12+ years of company secretarial experience with strong expertise in corporate governance.
- At least 3 years of experience as a legal practitioner specializing in commercial/corporate law.
